Visa Innovation Program Europe (“The Program”) – Terms & Conditions

These Visa Innovation Program Europe (“The Program”) Terms & Conditions (“Terms and Conditions”) constitute an agreement between ____________________________ (“Program Fintech”, “You” or “Your”) and Tenity Innovation Ltd. (“Tenity”), with registered address at Level39, One Canada Square, E14 5AB, London, United Kingdom, and apply to Your participation in The Program running throughout 2025 in Sweden, Finland, Norway, Denmark, Iceland, Estonia, Latvia, and Lithuania (the “Territories”).

Disclaimer: Upon Your consent with these Terms and Conditions, You agree with the provisions specified herein toward Tenity. However, it is possible that these Terms and Conditions be signed only by Tenity in the Territory into which You are accepted.


Article 1 – Organizer
  • The Program is organized by Tenity (the “Organizer”) for the above Territories and is supported by Visa Europe (“Visa”).
  • These Terms apply exclusively to participants of the Visa Innovation Program Europe in the specified Territories.

Article 2 – Purpose
  • The Program is equity-free and aims to:
    • Identify and/or enhance fintech solutions that address pre-defined market opportunities and challenges in the payments ecosystem.
    • Focus on fintech, banking, and payments, following Visa’s design thinking methodology.
    • Accelerate fintech innovation and enable engagement between Visa/Visa Clients and fintech startups.
  • Participation may result in discussions for pilots with Visa, Visa Clients, or other partners, but:
    • Such discussions are not guaranteed.
    • Engagement is at the sole discretion of Visa or its partners.
  • Future commercialization of a product/solution may lead to cooperation with Visa.
  • Program fintechs agree to explore cooperation with Visa in good faith before entering into agreements with Visa members of alternative payment schemes.

Article 3 – Participation
3.1 Rules for Participation
  • By participating, You:
    • Accept and agree to these Terms.
    • Confirm You have read and agreed to the Privacy and Cookie Policies available at www.visainnovationprogram.com.
  • Amendments to Terms:
    • The Organizer may amend Terms at any time.
    • Amendments will be published on the Program Website.
    • You may withdraw within 7 days if You do not accept changes.
    • Lack of withdrawal = deemed acceptance.
3.2 Eligibility
  • Open to established fintech companies with:
    • Ready products or at least proof-of-concept solutions addressing Program challenges.
    • No nationality or residency restrictions.
Representations and Warranties

By participating, You represent and warrant that You:

  • Meet all eligibility criteria.
  • Are the original creator of the Product/Solution.
  • Own or hold all rights, licenses, and permissions for the Product/Solution.
  • Do not infringe third-party rights; no litigation, claims, or disputes exist.
  • Will provide a non-confidential summary of the Product/Solution (marketing-level, not trade secrets).
  • If invited, will:
    • Attend demo day and present a non-confidential summary.
    • Negotiate in good faith with Visa before third parties.
    • Consider in good faith proposals from Visa or its Clients.
    • Participate in photos, videos, or recordings free of charge and waive inspection/approval rights.
    • Allow Organizer/Visa to use company and founder names in publicity.
    • Not make publicity statements without prior written consent from Visa (via Organizer).
    • Remove any content at Organizer/Visa’s request if it violates brand/social media requirements.

Article 4 – The Challenges

Program fintechs should address challenges in one of these four areas:

  1. Artificial Intelligence (AI) & Next-Gen Payment Experiences
  2. Embedded Finance & Commerce Empowerment
  3. Money Movement Flows
  4. Sustainable & Inclusive Future

Program Phases (Indicative):

  • Phase 3: Main Curriculum & PoC Support (2025) – Discovery Days, Design Sprints, mentorship, client/partner work.
  • Phase 4: Graduation Event (2025).

Organizer reserves the right to amend timelines and will publish updates on the Website.


Article 5 – Program Phases
5.1 Phase 1 – Application & Invitation
  • Apply via www.visainnovationprogram.com or be directly invited.
  • One application per company.
  • No participation fee.
  • Application does not guarantee selection.
  • Organizer not liable for technical issues with applications.
5.2 Phase 2 – Review & Selection
  • Applications reviewed by a Selection Jury of Organizer & Visa experts.
  • Late, false, or misleading applications are inadmissible.
  • Only selected fintechs will be notified. Lack of feedback = not selected.
5.3 Phase 3 – Main Program
  • Selection criteria include:
    • Relevance to challenges.
    • Market novelty.
    • Entrepreneurial spirit.
    • Dedicated founder for Visa/Client engagement.
  • Selected fintechs must:
    • Join sessions and Design Sprints.
    • Sign an NDA with Organizer.
  • Jury decisions are final.
5.4 Phase 4 – Graduation
  • If invited, fintechs may:
    • Present outcomes at Graduation Day.
    • Explore further collaboration opportunities with Visa.

Article 6 – Intellectual Property
  • Program fintechs guarantee:
    • Their IP legally exists and is maintained at their expense.
    • They hold all IP rights and authorizations.
    • No infringement of third-party rights.
  • IP Rights of fintech Products/Solutions remain with the fintech.
  • Organizer/Visa claim no ownership over fintech IP.

Article 7 – Personal Data
  • Participation requires submission of personal data (e.g., names, contact details).
  • Data processed in accordance with the Privacy Policy.

Article 8 – Independence & Conflict of Interest
  • Participation does not create employment, joint venture, or partnership with Visa.
  • Fintechs cannot act on behalf of Visa.
  • Publicity statements require written consent.
  • Organizer may disqualify fintechs for:
    • Breach of Terms or Privacy Policy.
    • Harmful behavior to Organizer/Visa’s reputation.
  • Organizer/Visa do not interfere with fintech business activities or claim rights over content.

Article 9 – Disqualification

Organizer may disqualify You if You:

  • Fail to meet eligibility, representations, or warranties.
  • Breach IP guarantees.
  • Fail to ensure team participation in sessions.
  • Breach obligations under these Terms.

Notification of disqualification will be sent via email with reasons.


Article 10 – Applicable Law & Disputes
  • By participating, You accept these Terms without reservation.
  • Applicable law depends on the specific Territory where You are accepted.
  • Disputes will be settled by competent courts in that Territory.
